These Terms and Conditions apply to:
Commercial terms apply only when they are provided to the customer before an agreement is concluded and are incorporated into the relevant quotation, order confirmation or agreement.
If a quotation or written agreement contains terms that differ from these Terms and Conditions, the quotation or written agreement takes priority.
Quotations are non-binding unless expressly stated otherwise. Unless another period is specified, a quotation is valid for 30 days.
An agreement is formed when Joule Motors B.V. confirms an order in writing or begins performing the agreed work.
Changes to an accepted order may affect the price, specifications and delivery schedule. Such changes must be agreed in writing.
Prices are stated in euros and exclude VAT, shipping, customs duties and other applicable charges unless stated otherwise.
Invoices must be paid within 30 days of the invoice date unless a different payment period is agreed in writing.
If payment is overdue, Joule Motors B.V. may suspend work or delivery and may charge statutory interest and reasonable collection costs.
Products remain the property of Joule Motors B.V. until all related invoices have been paid in full.
Product specifications, drawings, calculations, simulations, performance estimates and delivery dates are based on the information available when they are issued.
The customer is responsible for providing complete and accurate operating requirements, including voltage, current, speed, torque, cooling, environmental, mechanical and safety requirements.
Minor technical changes that do not materially reduce the agreed functionality may be made when reasonably necessary.
Prototypes, samples and development units are intended for evaluation and testing unless Joule Motors B.V. expressly confirms in writing that they are suitable for production use.
Prototype performance may differ from simulations, estimates or final production products. Development units may require further testing, calibration, certification or modification.
Unless expressly agreed otherwise, prototypes are not certified for automotive, aviation, marine, medical, safety-critical or road-legal applications.
The customer is responsible for carrying out appropriate validation and safety testing before integrating a product into another system or placing it into service.
Delivery dates are estimates unless expressly agreed as binding.
Joule Motors B.V. is not liable for reasonable delays caused by development changes, component shortages, supplier delays, transport disruption or circumstances outside its reasonable control.
Risk in physical products transfers to the customer upon delivery at the agreed location or in accordance with any agreed Incoterm. International shipping terms must be stated in the quotation or order confirmation.
Business customers must inspect delivered products promptly and notify Joule Motors B.V. in writing of visible defects or delivery discrepancies within 10 business days.
Hidden defects must be reported promptly after discovery. A notice should describe the problem and, where reasonably possible, include photographs, measurements, logs or test results.
Products may not be returned without prior written authorization from Joule Motors B.V.
Joule Motors B.V. warrants that products and services will materially conform to the agreed written specifications at the time of delivery.
The applicable warranty period and remedy will be stated in the quotation or order confirmation. If a valid warranty claim is accepted, Joule Motors B.V. may, at its option:

Nothing in these terms limits any mandatory rights that a consumer has under applicable law.
Joule Motors B.V. retains ownership of its pre-existing designs, software, control methods, drawings, calculations, manufacturing knowledge and other intellectual property.
Unless agreed otherwise in writing, providing a product, prototype or engineering service does not transfer intellectual-property ownership to the customer.
The customer retains ownership of materials and confidential information supplied by the customer.
Rights to custom-developed deliverables, software, source code, tooling and production documentation must be specified in the relevant quotation or development agreement.
Each party must protect confidential technical, commercial and business information received from the other party and use it only for the agreed purpose.
This obligation does not apply to information that is publicly available, was already lawfully known, was independently developed or must be disclosed by law.
Where necessary, the parties may enter into a separate non-disclosure agreement.
To the maximum extent permitted by law, Joule Motors B.V. is liable only for direct damage resulting from an attributable failure to perform the agreement.
Joule Motors B.V. is not liable for indirect or consequential loss, including loss of profit, production, revenue, data, contracts or business opportunities.
For business customers, total liability is limited to the amount paid for the affected product or service, or, if higher, the amount paid by the applicable liability insurer.
These limitations do not apply where liability cannot legally be excluded or limited, including damage caused intentionally or by deliberate recklessness of Joule Motors B.V.’s management.
Joule Motors B.V. is not liable for delay or non-performance caused by circumstances outside its reasonable control, including natural disasters, war, government action, power failures, cyber incidents, transport disruption, labor disputes, epidemics and shortages of materials or electronic components.
Obligations may be suspended for the duration of the force-majeure event. If the event continues for more than 90 days, either party may terminate the affected part of the agreement in writing.
Joule Motors B.V. aims to keep the website accurate and current, but website content is provided for general information and does not constitute a binding technical specification or professional engineering advice.
No rights may be derived from obvious errors, outdated information or illustrations on the website. Binding specifications are those stated in the applicable quotation, order confirmation or signed agreement.
Personal data is processed in accordance with our Privacy Policy and applicable data-protection law.

Joule Motors B.V. will make reasonable efforts to acknowledge a complaint within five business days and resolve it directly with the customer.
These Terms and Conditions and all agreements with Joule Motors B.V. are governed by Dutch law.
Disputes with business customers shall be submitted to the competent court in the district where Joule Motors B.V. has its registered office, unless mandatory law requires otherwise.
Mandatory consumer-protection and jurisdiction rules remain unaffected.
